Licence agreement

END USER LICENCE AGREEMENT — KLYPLY

IMPORTANT: Read this before installing. By installing or using Klyply you
agree to these terms. If you do not agree, do not install it, and request a
refund before activating your licence key.

1. WHAT YOU ARE BUYING

You are buying a licence to use Klyply on ONE computer, for the term you chose
at checkout. You are not buying the software itself.

Klyply is sold in three terms:

  3 MONTHS  - the licence runs for 3 months from activation.
  12 MONTHS - the licence runs for 12 months from activation.
  LIFETIME  - the licence does not expire.

Every term includes the full application with no limit on how many videos or
clips you process.

WHEN A FIXED TERM ENDS, KLYPLY STOPS WORKING until you buy a new licence. Clips
you have already exported are yours and are unaffected: they are ordinary video
files on your own computer, and nothing we do can reach them.

"Lifetime" means the lifetime of the product, not your lifetime. It does not
oblige us to keep developing, supporting, or updating Klyply indefinitely, and
it does not entitle you to future products.

A lifetime licence includes 12 months of updates from the date of purchase.
After that your installed version keeps working; new versions may require a
paid upgrade. A fixed-term licence includes every update we release during its
term.


2. ACTIVATION AND YOUR TERM

Read this section carefully. It contains the most important terms in this
agreement.

ONE COMPUTER. Your licence key is bound to the computer you activate it on, up
to the number of activations stated for your plan at checkout. Once those are
used, the key cannot be moved.

A new licence key is required if you:
  - install Klyply on more computers than your plan allows;
  - reinstall Windows, or reset your PC;
  - replace your motherboard or system drive;
  - restore to a machine that reports different hardware.

We are not obliged to issue replacement keys. If you contact support we may, at
our sole discretion, offer a replacement key at a reduced price.

WHEN THE TERM STARTS AND ENDS. A fixed term begins when you activate, not when
you buy, and ends on the date shown in the application. Klyply displays the
time remaining while a term is running, and tells you when it has ended.

HOW THE TERM IS ENFORCED. Activation requires an internet connection once.
After that Klyply runs offline, and checks the remaining term against your
computer's own clock. Setting that clock backwards does not extend a term.

You may not attempt to extend a term by altering your system clock, the
licence file, or the application.


3. WHAT YOU MAY NOT DO

You may not share, resell, sublicense, rent, or redistribute Klyply or
your licence key. You may not attempt to circumvent, remove, or disable the
licence check, or distribute a modified copy.

You may not use Klyply to produce content that infringes anyone's
copyright or violates any law.


4. YOUR CONTENT AND YOUR RESPONSIBILITY

Klyply runs entirely on your computer. We do not receive, store, process,
or have any access to your videos, audio, transcripts, or exported clips.

YOU are solely responsible for having the rights to any video you process, and
for complying with the terms of service of any website you download from.
Klyply can download from YouTube and other sites; downloading content you
do not own or have permission to use may breach those sites' terms and may
infringe copyright. That responsibility is yours, not ours.

You own everything you create with Klyply. We claim no rights in it.


5. THIRD-PARTY SOFTWARE

Klyply requires FFmpeg, which is NOT distributed with this software and is
not part of what you are buying. If your computer does not already have it,
Klyply offers to download a copy from its publisher onto your computer, at your
request and with your consent. FFmpeg is licensed to you by its own authors
under its own terms, not by us (see https://ffmpeg.org/legal.html). You may
install it yourself instead if you prefer.

Klyply includes open-source components licensed under permissive terms,
including faster-whisper, CTranslate2, OpenCV, yt-dlp, FastAPI and NumPy.
Nothing in this agreement limits any rights you have under those licences.

Exporting H.264 video may be subject to patent licensing in some
jurisdictions. Where required, obtaining that licence is your responsibility.


6. REFUNDS

Refunds are available within 14 days of purchase, PROVIDED the licence key
has not been activated. Once a key is activated it is bound to your computer
and consumed, and is no longer refundable. This applies to every plan.

We do not give partial or pro-rata refunds on an unused portion of a term.


7. NO WARRANTY

KLYPLY IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR
IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS
FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that Klyply will be uninterrupted or error-free, that
its output will perform well on any platform, or that it will continue to work
with any third-party website. Websites change; features that depend on them may
stop working without notice.

Nothing here excludes liability that cannot lawfully be excluded, and this
does not affect any statutory consumer rights you may have.


8. LIMITATION OF LIABILITY

To the maximum extent permitted by law, our total liability arising out of or
relating to this agreement is limited to the amount you actually paid for your
licence.

We are not liable for any indirect, incidental, special, or consequential
damages, including lost profits, lost revenue, lost data, or business
interruption, even if advised of the possibility.


9. TERMINATION

This licence ends automatically if you breach it. We may disable a licence key
that was obtained fraudulently or whose payment was reversed or charged back.


10. GENERAL

This agreement is governed by the laws of the United States. If any provision
is found unenforceable, the rest remains in force. This is the entire agreement
between us regarding Klyply.
